These Terms and Conditions govern the use of Saffronix's website and the engagement of our data insight services. By contacting us, submitting an enquiry, or proceeding with a service engagement, you confirm that you have read and agree to these terms. If you do not agree, please do not use our site or services.
Definitions
- "Saffronix", "we", "us", "our" refers to Saffronix, a data insight service provider registered and operating in Kuala Lumpur, Malaysia.
- "Client", "you", "your" refers to the individual or business entity engaging Saffronix for services or using this website.
- "Service" refers to any of the data insight offerings described on this website, including the Menu Insight Trial, Stock & Menu Setup, and Multi-Outlet Insight Programme.
- "Engagement" refers to a confirmed service arrangement between Saffronix and a client.
- "Deliverables" refers to written summaries, dashboard configurations, training sessions, and maintenance guides produced by Saffronix in the course of an engagement.
- "Client Data" refers to sales records, POS exports, stock figures, and other data submitted by the client for analysis.
Acceptance of Terms
By using this website or proceeding with a service engagement, you confirm that:
- You are at least 18 years of age and have the legal capacity to enter into an agreement.
- If acting on behalf of a business, you have the authority to bind that business to these terms.
- You have read and understood these terms and agree to be bound by them.
Services
Saffronix provides data insight services for food and beverage outlets, including menu review, stock pattern analysis, dashboard setup, and ongoing review support. Services are available to outlets operating in Malaysia. Details of each service tier, including scope and pricing, are described on our website.
Specific scope, timelines, and deliverables for each engagement are agreed with the client at the start of the project. Services are delivered in English. We reserve the right to decline or discontinue a service engagement where we are unable to meet the requirements of a particular client.
Client Responsibilities
To enable Saffronix to deliver the agreed service, the client agrees to:
- Provide accurate, complete, and timely data as required for the service.
- Confirm that they have the right to share any data submitted to Saffronix.
- Respond to queries from the Saffronix team within a reasonable time during the engagement.
- Use this website and any deliverables lawfully and for their intended purpose only.
- Not misrepresent their identity, outlet type, or the nature of the data they provide.
Intellectual Property
All content on this website — including text, structure, design, and page layouts — is the intellectual property of Saffronix. You may not copy, reproduce, or distribute website content without written permission.
Deliverables produced during a service engagement (written summaries, dashboard configurations, guides) are provided to the client for their own operational use. Clients may not resell, sublicense, or distribute these deliverables to third parties.
Client Data submitted during an engagement remains the property of the client. Saffronix processes it solely for the purposes of the agreed service and does not claim any rights to it.
Payment Terms
Service fees are quoted in Malaysian Ringgit (RM). Current pricing is published on this website and is subject to change. The fee applicable to your engagement is the fee confirmed at the time of agreement.
- Payment arrangements are agreed with the client before work commences.
- Saffronix may require full or partial payment before the engagement begins, depending on the service.
- If a client withdraws from an engagement after work has commenced, fees paid for work already performed are non-refundable unless otherwise agreed in writing.
- Refund requests for services not yet commenced will be reviewed on a case-by-case basis and responded to within 14 days.
Engagement Terms
Each engagement is scoped at the start of the project. Changes to scope requested after work has commenced may result in revised timelines or additional fees. We will discuss and confirm any such changes before proceeding.
Timelines are estimates and depend on the timely receipt of accurate Client Data. Saffronix will communicate any expected delays. The client's failure to provide data or respond to queries within a reasonable time may affect the ability to deliver within the original timeline.
Confidentiality
Saffronix treats all Client Data and business information shared during an engagement as confidential. We will not disclose this information to third parties except as required by law or as necessary to deliver the service (for example, within the Saffronix team).
Clients are asked to treat the methodology, approach, and internal tools used by Saffronix as confidential and not to share these with competitors or third parties without our written consent.
Disclaimers
Saffronix provides data insight services based on the information supplied by the client. Our deliverables — including summaries, dashboards, and observations — are informational in nature and are intended to support the client's own decision-making.
- We do not guarantee any specific commercial outcome, revenue change, or operational improvement as a result of our services.
- The accuracy of our analysis depends on the completeness and accuracy of the data provided by the client.
- Our services do not constitute financial, accounting, or regulatory advice. Clients should seek appropriate professional advice where needed.
- This website is provided on an "as available" basis. We do not warrant that it will be free of errors or continuously accessible.
Limitation of Liability
To the extent permitted under Malaysian law, Saffronix's total liability to a client in connection with any engagement shall not exceed the fees paid by the client for that specific engagement.
Saffronix shall not be liable for:
- Indirect, consequential, or incidental losses arising from the use of our services or website.
- Loss of revenue, profit, or business opportunity resulting from decisions made based on our deliverables.
- Errors in analysis attributable to inaccurate or incomplete Client Data.
- Delays or failures caused by circumstances outside our reasonable control (force majeure).
Termination
Either party may withdraw from an engagement with written notice. If the client withdraws after work has commenced, they remain liable for fees relating to work completed up to that point.
Saffronix may terminate an engagement where the client has provided materially inaccurate information, failed to meet their responsibilities under these terms, or engaged in conduct inconsistent with a professional working relationship. Sections relating to intellectual property, confidentiality, disclaimers, and liability survive termination.
Dispute Resolution
These terms are governed by the laws of Malaysia. If a dispute arises, both parties agree to first attempt to resolve it through direct discussion in good faith within 30 days of the dispute being raised.
If the matter cannot be resolved informally, it shall be referred to the courts of Malaysia, with Kuala Lumpur as the agreed jurisdiction. Clients retain any rights available to them under the Consumer Protection Act 1999 (Malaysia) and other applicable legislation.
General Provisions
- Entire agreement: These terms, together with any written engagement agreement, constitute the entire agreement between Saffronix and the client.
- Severability: If any provision of these terms is found to be unenforceable, the remaining provisions continue in full effect.
- No waiver: Failure by either party to enforce any right under these terms does not constitute a waiver of that right.
- Assignment: Clients may not assign their rights or obligations under these terms without prior written consent from Saffronix.
Changes to These Terms
We may update these terms from time to time. The date at the top of this page reflects when they were last revised. If changes are material, we will make reasonable efforts to notify active clients. Continued use of this website or engagement of our services after a revision constitutes acceptance of the updated terms.
